Can bylaws be overridden with Board and Presidential approval?
In 2006, a president of an organization, with the approval of the Board of Directors, signed an agreement with the trustees of the land that the organization occupies. The agreement permits the trustees to overturn / veto decisions of the Board of Directors and executive officers of the organization. Since the agreement permits an entity to interfere with the rights of the executive officers and Board of Directors as laid out in the by-laws without actually being incorporated into the organization through any amendment process, is the agreement the president signed legal / enforceable? Can a Board of Directors and the President of an organization sign agreements with an external entity that allows that entity to override the organization's bylaws?
