Attorney malpractice led me to commit securities violations

I really need some help. 2 years ago, my attorney advised me that I could offer investments to folks through a "Joint Venture Agreement" as long as I kept it "small" (9 clients or less). I made the offering and the money invested through my company was stolen (700k). The State of Idaho is now trying to sue me for 700k PLUS fines for securities violations and fraud (because my Joint Venture Agreement does not address risk). I want to make a claim against my attorney because he advised me to proceed as I did.
I know this isn't a TON of information, but do you think I have a case?
